The following Terms and Conditions govern the services provided by Jayroop Infra, a construction company registered with the Central Public Works Department (CPWD). By engaging with our services, clients agree to abide by these terms. Please read them carefully.

1. Scope of Services

1.1 Jayroop Infra provides construction, civil engineering, and infrastructure development services, including but not limited to residential, commercial, and public projects as per agreed contracts.

1.2 All services will be performed in accordance with the specifications outlined in the project agreement, adhering to applicable laws, regulations, and CPWD guidelines.

2. Contractual Agreement

2.1 A formal contract or agreement must be signed by both parties (Jayroop Infra and the Client) before the commencement of any project.

2.2 The contract will outline project scope, timelines, costs, payment terms, and specific deliverables.

2.3 Any modifications to the scope of work must be agreed upon in writing by both parties.

3. Payment Terms

3.1 Payments shall be made as per the schedule outlined in the project contract.

3.2 Invoices are due within the specified period (as per the contract). Late payments may incur interest at a rate of 1.5% per month or as per applicable laws.

3.3 Advance payments, if required, must be made before work commences, as specified in the contract.

3.4 All taxes, duties, and levies applicable to the project shall be borne by the Client unless otherwise stated.

4. Project Execution

4.1 Jayroop Infra will execute projects with due diligence, adhering to safety standards, quality benchmarks, and CPWD regulations.

4.2 The Client shall provide necessary approvals, permits, and access to the project site to facilitate timely execution.

4.3 Delays caused by the Client, including but not limited to delayed approvals, payments, or site access, may result in revised timelines and additional costs.

5. Materials and Quality

5.1 Jayroop Infra will use materials that meet the specifications outlined in the contract and comply with industry standards.

5.2 Any substitutions or changes in materials will be communicated to and approved by the Client in writing.

5.3 The Client may inspect materials and work progress at mutually agreed intervals.

6. Warranties and Guarantees

6.1 Jayroop Infra warrants that all work will be performed in a professional manner, consistent with industry standards and CPWD guidelines.

6.2 Specific warranties (e.g., structural integrity, material quality) will be outlined in the project contract.

6.3 Claims under warranty must be reported in writing within the warranty period, and Jayroop Infra will address them as per the contract terms.

7. Liability

7.1 Jayroop Infra shall not be liable for delays or damages caused by factors beyond its control, including but not limited to natural disasters, government restrictions, labor strikes, or unforeseen site conditions.

7.2 The Client shall indemnify Jayroop Infra against claims arising from inaccurate information, site conditions, or third-party actions not attributable to Jayroop Infra.

7.3 Jayroop Infra's liability shall be limited to the value of the contract unless otherwise specified.

8. Termination

8.1 Either party may terminate the contract in case of a material breach, subject to written notice and a reasonable cure period (e.g., 30 days).

8.2 Termination by the Client without cause requires payment for all work completed and costs incurred up to the termination date.

8.3 Upon termination, Jayroop Infra will provide a final account of work completed and materials used.

9. Dispute Resolution

9.1 Any disputes arising from the contract shall first be resolved through mutual negotiation.

9.2 If unresolved, disputes will be referred to arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996, with the venue being New Delhi.

9.3 The decision of the arbitrator shall be final and binding.

10. Force Majeure

10.1 Jayroop Infra shall not be liable for failure to perform obligations due to events beyond its reasonable control, including natural calamities, war, or government regulations.

10.2 In such cases, timelines and obligations may be adjusted by mutual agreement.

11. Confidentiality

11.1 Both parties agree to maintain the confidentiality of proprietary information, including project plans, designs, and financial details, unless required by law.

11.2 This obligation remains in effect even after project completion or contract termination.

12. Compliance with Laws

12.1 Jayroop Infra will comply with all applicable laws, including labor, safety, and environmental regulations, as well as CPWD guidelines.

12.2 The Client is responsible for obtaining necessary statutory approvals unless otherwise agreed.

13. Amendments

13.1 These Terms and Conditions may be amended by Jayroop Infra with prior notice to the Client.

13.2 Project-specific terms in the contract shall take precedence over these general terms in case of any conflict.

14. Governing Law

14.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of India.

14.2 Any legal proceedings shall be subject to the jurisdiction of courts in New Delhi.
